NOTICE OF ANNUAL MEETINGS

NORTHERN TOBACCO SECURITIZATION CORPORATION

ANNUAL MEMBERSHIP AND BOARD OF DIRECTORS

THE MEMBERSHIP of the Northern Tobacco Securitization Corporation (“NTSC”), a public corporation and government instrumentality of, but having a legal existence independent of and separate from, the State of Alaska, will meet at 9:30 a.m. on December 3, 2025 at AHFC building at 4300 Boniface Parkway, and via WebEx Teleconference. NTSC is incorporated under the Alaska Nonprofit Corporation Act and has only one member – the Alaska Housing Finance Corporation (“AHFC”). AHFC shall be represented at the meeting through its Board of Directors. Immediately after the adjournment of the NTSC Membership Meeting, the Board of Directors of NTSC shall meet at the same location and with the same access by the public.

THE AGENDA for the Annual NTSC Membership Meeting will include: A. Election of Board members, if any; B. Delivery of Fiscal Year 2025 Annual Report; C. Any other matters as may properly come before the Membership.

THE AGENDA for the Annual NTSC Board Meeting will include: A. Board Members’ Oath of Office; B. Election of Officers; NEW BUSINESS: A. Resolution No. 2025-01: Review of Fiscal Year 2025 Budget and Approval of Fiscal Year 2027 Budget; B. Resolution No.2025-02: Approval of Fiscal Year 2025 Annual Report; C. Any other matters as may properly come before the Board.

ONE OR MORE NTSC AND/OR AHFC BOARD MEMBERS may participate in the meetings by utilizing telephonic communications (conference telephone) pursuant to AS 18.56.040(b).

THE PUBLIC is invited to participate by teleconference calling 330-8452 or emailing krichardson@ahfc.us  and requesting the access code. Pertinent reference materials, if used, will be made available to those members of the public who wish to participate in the meeting.

NTSC COMPLIES with Title II of the Americans with Disabilities Act of 1990 and the Rehabilitation Act of 1973.
