NOTICE OF JOINT APPLICATION OF UTILITY TRANSFER
The REGULATORY COMMISSION OF ALASKA (Commission) gives notice that on June 2, 2020, TDX North Slope Generating, Inc. (TNSG, Inc.) and TDX North Slope Generating, LLC (TNSG, LLC) (together, Applicants) filed a joint application to transfer Certificate of Public Convenience and Necessity No. 227 from TNSG, Inc. to TNSG, LLC for the provision of electric public utility service in the area of Deadhorse, Alaska. Docket No. U-20-025 was opened to address this matter.
TNSG, Inc. is a corporation registered in the State of Alaska. TNSG, LLC is a limited liability company organized under the laws of the State of Alaska. The Applicants state the application arises from a change in business organizational structure only, and will not result in any changes in management, operations, rates, services, or regulatory obligations of the utility.
In conjunction with the application, the Applicants have filed a request for waiver of the requirements that they file a detailed list of assets and liabilities that TNSG, Inc. proposes to transfer to TNSG, LLC. The waiver also included a request to not file a statement of comparative financial condition at the beginning and end of the most recent calendar year (2019), and the related comparative statements of income and undistributed earnings for the years then ended. Instead, the Applicants requested the Commission to accept the 2018 & 2019 financial statements of TDX Corporation (TDX), because the financial results of TNSG, Inc. and TNSG, LLC are consolidated into TDX’s financial statements for reporting purposes.
The Applicants have also filed a petition for confidential treatment to keep the TDX financial statements confidential and have filed those financial statements under seal.
The Commission has not assessed the completeness of the application. The Commission may determine whether the application is complete by July 31, 2020.
