The REGULATORY COMMISSION OF ALASKA (Commission) gives notice that on June 2, 2020, Tanadgusix Corporation (TDX) and TDX St. Paul Wind, LLC, (TDX Wind) (together, Applicants) filed a joint application to transfer Certificate of Public Convenience and Necessity No. 749 from TDX to TDX Wind for the provision of wholesale electric service in St. Paul, Alaska. Docket No. U-20-026 was opened to address this matter.

TDX is a corporation registered in the State of Alaska. TDX Wind is a limited liability company organized under the laws of the State of Alaska. The Applicants state the application arises from a change in asset ownership only, and will not result in any changes in management, operations, rates, services, or regulatory obligations of the utility.

In conjunction with the application, the Applicants have filed a request for waiver of the requirements that they file a detailed list of assets and liabilities that TDX proposes to transfer to TDX Wind. The waiver also included a request to not file a statement of comparative financial condition at the beginning and end of the most recent calendar year (2019), and the related comparative statements of income and undistributed earnings for the years then ended. Instead, the Applicants requested the Commission to accept the 2018 & 2019 financial statements of TDX, because the financial results of TDX Wind are consolidated into TDX’s financial statements for reporting purposes.

The applicants have also filed a petition for confidential treatment to keep the TDX financial statements confidential and have filed those financial statements under seal.

The Commission has not assessed the completeness of the application. The Commission may determine whether the application is complete by July 31, 2020.
