CORRECTED NOTICE OF JOINT APPLICATION TO ACQUIRE CONTROLLING INTEREST IN A PUBLIC UTILITY

The REGULATORY COMMISSION OF ALASKA (Commission) gives notice that on January 5, 2018, Interior Gas Utility (IGU) and Alaska Industrial Development and Export Authority (AIDEA), filed a joint application seeking approval for the transfer of controlling interest in Fairbanks Natural Gas, LLC (FNG). Docket No. U-18-001 was opened to address this matter.

FNG provides natural gas distribution service in Fairbanks, Alaska under Certificate of Public Convenience and Necessity No.514. IGU and AIDEA have entered into a purchase and sale agreement in which IGU has agreed to purchase from AIDEA, a 100% membership interest in Pentex Alaska Natural Gas Company, LLC (Pentex). Pentex is the parent company of FNG. If the acquisition is approved, IGU will acquire controlling interest in FNG, as well as any other Pentex and FNG subsidiaries.

IGU and AIDEA are political subdivisions of the State, and, pursuant to AS 42.05.711(b), are exempt from the economic regulation. “Economic regulation” is a generic term, which includes the regulation of rates that can be charged by a regulated utility. With respect to IGU, the Commission has no jurisdiction over matters that constitute economic regulation.

In conjunction with its application, IGU and AIDEA have filed a motion for expedited consideration of the application. No motions for waiver or petitions for confidentiality were filed with the application.

The Commission has not assessed the completeness of the application. The Commission will determine whether the application is complete by January 29, 2018.
