NOTICE OF APPLICATION TO ACQUIRE CONTROLLING INTEREST IN A PUBLIC UTILITY

NOTICE OF APPLICATION TO ACQUIRE CONTROLLING INTEREST IN A PUBLIC UTILITY

The REGULATORY COMMISSION OF ALASKA (Commission) gives notice that on September 14, 2017, Hydro One Limited (Hydro One), acting through its indirect wholly-owned subsidiary Olympus Equity LLC, and Avista Corporation (Avista) (collectively, the Applicants) filed an application to acquire a controlling interest in Alaska Electric Light and Power Company (AELP). Docket No. U-17-085 was opened to address this matter.

AELP is a public utility that holds Certificate of Convenience and Necessity (Certificate)
No. 1, authorizing the provision of electric utility service in the City and Borough of Juneau, Alaska. AELP will be acquired through Hydro One, acting through Olympus Equity LLC to acquire all of the common stock of Avista. The application states that the proposed acquisition will have no impact on AELP’s services, rates, or tariffs.

With the application, Hydro One and Avista filed a request for waiver of the requirement that Hydro One and Olympus Equity LLC file proof of registration to do business in the state of Alaska. Interested persons may file a response to the waiver request with the Commission by 5:00 p.m., October 12, 2017.

No petition for confidentiality was filed with this application. The Commission has not assessed the completeness of the application or ruled on the motion for waiver. The Commission will rule on the petition for waiver and determine whether the application is complete by November 10, 2017.
