NOTICE OF JOINT APPLICATION OF UTILITIES TRANSFER
The REGULATORY COMMISSION OF ALASKA (Commission) gives notice that on February 28, 2017, Alaska Pacific Environmental Services Denali, LLC; Alaska Pacific Environmental Services Juneau, LLC; Alaska Pacific Environmental Services Dutch Harbor, LLC; Alaska Pacific Environmental Services Nome, LLC; Alaska Pacific Environmental Services Ketchikan, LLC (hereinafter, collectively referred to as Pacific Waste) and Alaska Waste-Denali, LLC , Alaska Waste-Juneau, LLC , Alaska Waste-Dutch Harbor, LLC , Alaska Waste-Nome, LLC, Alaska Waste-Ketchikan, LLC (hereinafter, collectively referred to as Alaska Waste), filed a joint application to transfer Certificates of Public Convenience and Necessity (CPCN) Nos. 502, 653, 654, 655 and 656 from APES to Alaska Waste to provide refuse collection services in Denali, Juneau, Dutch Harbor, Nome and Ketchikan, Alaska. Docket No. U-17-013 was opened to address this matter.
Alaska Pacific Environmental Services I, LLC owns Pacific Waste, while Waste Connections of Alaska, Inc. owns Alaska Waste. Alaska Waste intends to purchase substantially all of the assets of APES, while maintaining the same services previously certificated to Pacific Waste.
With its application, Pacific Waste and Alaska Waste filed a petition for confidential treatment of the following sections of the financial information within Alaska Waste’s asset purchase agreement: Assumption by Buyers of Assumed Contracts, Excluded Liabilities, Purchase Price, Monitors, Allocation of the Purchase Price, and Closing Time and Place. No petition for waiver was filed with the application. The Commission has not assessed the completeness of the application. The Commission may determine whether the application is complete after the close of the comment period.
