NOTICE OF APPLICATION TO ACQUIRE CONTROLLING INTEREST

The REGULATORY COMMISSION OF ALASKA (Commission) gives notice that on December 19, 2016, Level 3 Communications, Inc., the parent company of Level 3 Communications, LLC, and CenturyLink, Inc. (CenturyLink) (collectively, the Applicants) filed an application to transfer controlling interest in Level 3 Communications, LLC, from Level 3 Communications, Inc. to CenturyLink. Level 3 Communications, LLC holds Certificate of Public Convenience and Necessity No. 672, and is authorized to provide competitive local exchange service in the Anchorage study area. Docket No. U-16-108 was opened to address this matter.

The Applicants propose an indirect transfer of control of Level 3 Communications, LLC through a newly created intermediate wholly-owned subsidiary of CenturyLink called Wildcat Holdco, LLC.

No motions for waiver or petitions for confidentiality were filed with the application. The Commission has not assessed the completeness of the application. The Commission may determine whether the application is complete by January 11, 2017.
