NOTICE OF JOINT UTILITY APPLICATION FOR CHANGE IN CONTROLLING INTEREST
The REGULATORY COMMISSION OF ALASKA (Commission) gives notice that on June 6, 2018, Interior Telephone Company (ITC), Mukluk Telephone Company, Inc. (MTC), TelAlaska Long Distance, Inc. (TELALASKA), Eyecom, Incorporated (EYECOM) (collectively, TelAlaska Companies), and Jane R. Eudy, (collectively, Applicants) filed a joint application for change in controlling interest in the ultimate parent of the TelAlaska Companies, American Broadband Communications, LLC (American Broadband). ITC holds Certificate of Public Convenience and Necessity (CPCN) No. 165, authorizing the provision of dominant local exchange service in Cold Bay, Cooper Landing, Fort Yukon, Galena, Iliamna, King Cove, Port Lions, Sand Point, and Unalaska. MTC holds CPCN No. 253, authorizing the provision of dominant local exchange service in Council, Elim, Golovin, Koyuk, Little Diomede, Stebbins, Shishmaref, Shaktoolik, St. Michael, Teller, Wales, and White Mountain, and non-dominant local exchange service in Nome. TELALASKA holds CPCN No. 487, authorizing the provision of intrastate interexchange carrier service in the state of Alaska; CPCN No. 559, authorizing the provision of private pay phone service in the state of Alaska; and CPCN No. 645, authorizing the provision of local exchange carrier service in Anchorage, Bird/Indian, Girdwood, and Hope. EYECOM holds CPCN No. 315, authorizing the provision of cable television service in Anchorage, and CPCN No. 316, authorizing the provision of cable television service in Galena. Docket Nos. U-18-044, U-18-045, U-18-046, U-18-047, U-18-048, U-18-049, and U-18-050 were opened to address these matters.
The Applicants state that the proposed transfer of controlling interest will have no effect on existing services, management, or operations of the TelAlaska Companies. Further, they state that the proposed transaction will not result in any immediate changes to types of services provided by the companies or the rates or terms and conditions such services are provided under.
In conjunction with the joint application, the Applicants have filed a petition for confidential treatment of the following information filed together with the application: the consolidated financial statements for the TelAlaska Companies and the consolidated financial statements for American Broadband. Interested persons may file a response to the petition for confidential treatment with the Commission by 5:00 p.m., July 6, 2018.
With the joint application, the Applicants filed a motion for joint administration of Docket Nos. U-18-044, U-18-045, U-18-046, U-18-047, U-18-048, U-18-049, and U-18-050 for administrative efficiency. Additionally, the Applicants filed a joint motion for a waiver of filing a statement of financial condition for Jane R. Eudy.
The Commission has not assessed the completeness of the application. The Commission may determine whether the application is complete by June 27, 2018.
